Fixed Term Contract of Service

You are hereby offered employment within “Davido Digital Solutions“ and your employment will be subject to the terms and conditions of service contained in this employment contract, which is in line with the provisions of the Employment Act Cap 226 No. 11 of 2007(Revised 2012) and all other enabling, incidental and related laws.

Place of Work

Your normal place of work will be within Limuru Town provided that the “Davido Digital Solutions” reserves the right to change this to any other place where it operates either for a limited or indefinite period.

At the end of the term period (six month), your performance will be appraised, and depending on the results of the appraisal, “Davido Digital Solutions” may at its sole discretion or with consultation, confirm or terminate the appointment, or with your agreement, extend the length of the term period for a further period not exceeding six other months.

Where the circumstances dictate that your contract be expended, you shall have the opportunity at will, to take up an existing opportunity if any and on such terms as attached to such opportunity.

Duties and Responsibilities

You will perform the duties and discharge the responsibilities which Davido Digital Solutions may from time to time assign to you whether through your immediate supervisor or under your job description or otherwise whatsoever.

Your duties and responsibilities as a April 11, 2023 will be assigned to you by your immediate supervisor.

Salary;

(a) Your starting basic salary will be ksh25,000/= per calendar month worked which amount, along with any other benefits attached to your employment hereunder shall be subject to taxation as required by the law of Kenya.

Hours of Work

You are required to devote such time as is necessary for the proper performance of your duties. The working hours will be the normal working hours under the Employment Act 2007.

Sick Leave

During any period of absence from work due to sickness or injury you will be entitled to full basic salary for a period of up to thirty (30) days with full pay and further fifteen (15) days with half pay within a period of two months.

Other Benefits

All entitlements and allowances attaching or relating to your employment hereunder shall be in writing and subject to the provisions of the Employment Act and other related laws.

Obedience to Lawful Orders

You will be required to fulfil and obey all lawful directions and orders of the “Limuru business supervisor or your designated immediate supervisor or any other person for the time being placed in authority over you.

Devotion

You will not, without the prior written consent of Limuru Town business supervisor at any time during your employment hereunder, engage or be engaged or concerned directly or indirectly in any other business or occupation whatsoever either as principal, agent, servant or otherwise, but will devote the whole of your time, attention and ability to the services and affairs of Davido Digital Solutions and will use your best endeavors to promote and improve the same except under exceptional circumstances accorded by the management of Limuru Town business which circumstances shall be in writing and expressly communicated by the Human Resource Manager.

Confidentiality

You shall not at any time during your employment with Davido Digital Solutions except in as far as is required by law or authorized by Davido Digital Solutions or at any time after your employment has terminated disclose to any person any confidential information.

All items, works, publications, manuals, notes, memoranda, documents, articles and other materials authored prepared or contributed by yourself or which shall be acquired or received by you in the course of your employment with “Davido Digital Solutions” shall remain the property of Davido Digital Solutions” and you shall not release or otherwise assign them outside “Davido Digital Solutions” without the proper authorization of “Davido Digital Solutions”. You shall surrender all such property to “Davido Digital Solutions” at the termination of your employment or at the request of “Davido Digital Solutions” at any time during the course of your employment.

Termination with or without Notice

Either party may give termination with notice in writing of not less than one seven days while the contract of service is deemed to run for Six months.

Your employment may be terminated by Davido Digital Solutions at any time and without notice or payment in lieu of notice:

1. for serious or persistent misconduct; or

2. if you refuse or fail to comply with any lawful order or direction given to you by “Davido Digital Solutions” or its authorized agents; or

3. if you exhibit serious or persistent neglect of duty; or

4. if without leave or other lawful cause , you absent yourself from work;

5. if during working hours, by becoming or being intoxicated you render yourself unwilling or incapable to perform your work properly;

6. if as a April 11, 2023 you willfully neglect to perform any work which is your duty, or if you perform it carelessly and improperly any work which from its nature is your duty, as a cleaner under the employment contract, to have performed carefully and properly;

7. if you use abusive or insulting language, or behave in a manner insulting to “Davido Digital Solutions” or to a person placed over authority over you;

8. if you commit or are suspected of committing a criminal offence against or to the detriment of “Davido Digital Solutions” or to “Davido Digital Solutions” property;

9. on any other ground upon which “Davido Digital Solutions” may lawfully terminate such employment summarily.

10. Where the conduct is an offence to the fundamental root term to the contract of service.

Disciplinary and Grievance Procedures;

The “Davido Digital Solutions” Disciplinary and Grievance Committee shall be mandated with the handling as per the law, disciplinary proceedings. Notwithstanding, “Davido Digital Solutions” may, in its absolute discretion, suspend you on full pay pending the outcome of any investigation or process undertaken under any of the above procedures.

Notices

Any notices to be given hereunder or otherwise shall be in writing and be sufficiently served on you, by being delivered personally to you, or delivered to your place of abode, Physical address, sent by registered mail addressed to you at your last known postal address, or sent to you by e-mail to your last known e-mail address and any such notice if so posted and/or e-mailed shall be deemed to have served on the day next following that which it was delivered, posted or e-mailed.

Headings

The headings herein inserted are for convenience only and shall not in any way affect the interpretation of the provisions of this Letter.

Applicable Law

This Letter shall in all respects be construed and interpreted in accordance with the laws of Kenya.

Leave

You will be entitled to 15 (fifteen) days during the contract period.

Designation

Please sign below on both copies of this letter to indicate your acceptance or non-acceptance of this offer and return one copy to the Human Resource Manager for record.

Please note that unless one copy of this letter accepting the offer and signed by yourself is returned as provided herein within seven (7) days of the date hereof, the offer shall be deemed to have been rejected by you and consequently withdrawn by “Davido Digital Solutions”.

I further, understand and accept that this offer of employment is subject to the requirement that I sign a statement indicating that, I have read and understood the contract of employment, as from time to time amended, and agree to abide by such terms and conditions them of my contract of service with “Davido Digital Solutions”. I hereby also freely and irrevocably authorize Davido Digital Solutions to recover all dues as described in clause 16 above, from my terminal dues.

I acknowledge that:

1. I have had sufficient time to review this Contract thoroughly;

2. I have read and understand the terms of the Contract of employment;

3. I have been given opportunity to obtain independent legal advice concerning the interpretation and effect of this contract of employment;

4. I have received a copy of this Contract of employment.
