THE CONSTITUTION OF WAKULIMA FC
Preamble
We the members of the WAKULIMA FC;
1. Acknowledge the supremacy and sovereignty of God of all creation.
2. Honoring the heroes of Kenya, its leaders and moral precepts and its values.
3. Proud of our ethnic diversity and our heritage.
4. Determined to conduct ourselves in unity as one indivisible body.
5. Adopt, enact and give constitution to ourselves and to our future members.

Article I: Establishment of a Football Club
WAKULIMA FC is a nonpolitical organization in accordance with the constitution and shall be registered under the ministry of sports, culture and heritage, in the state depart of sports.
Article II: Supremacy of the Constitution
This constitution shall be the supreme law of the club and if any other rule, order or provision is inconsistent with the constitution will not be enacted.
Article III: Vision and Mission
Vision: To lay a foundation of hope to current and future generations by providing moral, material and mutual support through football.
Mission: To unite and inspire our communities.
Article IV: Objectives
1) Enhance and preserve our culture through football activities.
2) Promote peace and unity through football.
3) Provide entertainment to our community through football.
4) Enhance social diversity and inclusion through football.
5) Promote peaceful coexistence among our community.
6) Fight youth drug and substance abuse and misuse through football.
7) Tap football talents by providing a sports forum.
Article V: Group Target
WAKULIMA FC targets youths, middle age and the aged through sports.
Article VI: Area of Operation
WAKULIMA FC is registered under the ministry of Sports and will be based in Bibirioni Primary School playground, in Kiambu County within Limuru Sub County.
Article VII: Membership
WAKULIMA FC will be voluntary with a registration fee of ksh200/=. In addition, the person must;
· Be of sound mind.
· Have a passion for football and self-sacrifice.
· Be 16 years and above.
Article VIII: Rights of Members
All members have a right to;
a) Access a copy of the constitution
b) Vote
c) Attend and actively participate in all WAKULIMA FC affairs
d) Participate in any WAKULIMA FC meeting
e) To access all records of management and finance affairs of the WAKULIMA FC.
Article IX: Membership Conduct
Members of WAKULIMA FC shall;
· Conduct themselves in accordance with the highest standards of integrity, personal discipline, morality and shall refrain from any conduct that may bring the WAKULIMA FC into public shame or despise.
· Carry themselves in all places and forums with humility and dignity as the status of one learned in the law.
· Not without the authority of the WAKULIMA FC, make external correspondence purporting to be speaking for the WAKULIMA FC.
· Not solicit and use funds, club resources from within or without in the name of the WAKULIMA FC without the clubs approval.
· Not use their position in the WAKULIMA FC to unlawfully enrich self, engage in activities or deals against the general interests of the WAKULIMA FC.
· Engage each other with decorum, respect and with provided modes of communication.
The officials of the WAKULIMA FC will remain with the sole duty of club administration and in no way will they influence the club activities during match, training or mode of play.
Article X: Termination of Membership
a) One ceases to be a member of WAKULIMA FC upon;
1. Writing to the secretary a request to terminate membership
2. When a member is not physically and financially active.
3. Gross misconduct or violation of WAKULIMA FC constitution
b) The executive has a right to terminate members on valid reasons.
c) Upon termination of membership, one is not entitled refund of any money donated or paid subscription fee to WAKULIMA FC.
d) Upon termination of membership, one will have to return all properties of WAKULIMA FC, failure to do so will attract legal action.
Article XI: Executive Committee Structure
The leadership of WAKULIMA FC shall consist of;
a) Chairperson and vice chairperson
b) Secretary general and the deputy
c) Treasurer
d) Team manager
e) Publicity Secretary
f) Captain and the vice
g) Coach and vice
And, any other position that may be created by members and be agreed upon.
Article XII: Qualification to be a Member of the Executive
To be eligible for electoral position the following requirements shall be fulfilled;
1) Be an ordinary member of the club.
2) Have no record of disciplinary cases in the republic of Kenya.
3) Have met the requirements of chapter six of the Kenyan Constitution.
4) Have knowledge of football management or a former player..
Article XIII: General Roles of Officials
All the officials have the role to;
1) Strengthen cohesion within the grounds.
2) Implement the objectives and aspirations of WAKULIMA FC.
3) Act as representatives of WAKULIMA FC in forums and functions.
4) Organize all activities and meetings relating to WAKULIMA FC.
5) Provide direction to the members on all matters of the club.
6) Manage all the WAKULIMA FC resources with transparency.
Article XIV: Specific Roles of the Officials
a) Chairperson
The roles of the chairperson include;
1. Preside over executive meetings, ordinary meetings and annual meetings.
2. To call members to a meeting.
3. To delegate over activities related to meetings to the relevant official.
b) Deputy Chairperson
· To carry out all the functions of the chairperson in his absential
c) Secretary General
The roles of the secretary general are;
1. Represent WAKULIMA FC in all executive functions in its networking’s with other clubs with the approval of other officials.
2. Take minutes of all the official meetings.
3. To be custodian of WAKULIMA FC constitution, respect, uphold and defend the constitution.
4. To directly help the chairperson in management of WAKULIMA FC resources.
5. Custodian of the WAKULIMA FC documents.
d) Treasurer
The roles of the treasurer are;
1. Define or set the amount to be remitted as the registration and subscription fee and the frequency of such remission and set the policy upon consultation with other officials.
2. To be custodian of all financial records and account.
3. To define and implement the economic policy of the club.
4. To head the budget affairs of WAKULIMA FC and present an annual financial report during annual general meeting.
e) Team Manager
The roles of the team manager are;
1) To plan and organize all activities and present approximation of costs of such activities to the executive committee
2) To prepare and disseminate notices of meetings and events with consultation from the chairperson
3) To assist the secretary general in networking, guest invitations and welfare matters.
4) To act as the special envoy of WAKULIMA FC to all relevant forums, meetings, and organizations linked with WAKULIMA FC upon consultation with other officials.
5) To network with all interested special members, list and present such records to the secretary general for approval.
f) Publicity Secretary
The roles of the publicity secretary are;
1. Disseminate information pertaining WAKULIMA FC to the general public.
2. To act as the chief custodian of all WAKULIMA FC publications.
3. To manage all WAKULIMA FC social forums, groups eg. Website, Facebook, Twitter, Instagram, etc.
4. To be answerable to the executive.
g) Captain
The roles the captain are;
1) To be accountable after a bad performance or practice.
2) To maintain and control the players.
3) To be the role model of the club.
4) Address and approach players by giving them positive attitudes.
5) Act as the link between the officials and the players.
6) To be the spokesman of the players.
7) To make decisions on behalf of the players.
h) Coaches
The roles of the coaches are;
1. Develop all activities of the club.
2. In charge of practice and on session affairs of the club.
3. In charge of disciplining the players.
4. In charge of developing a training program of the club.
5. Participate in developing club progress, recruitment and dismissal of players.
6. He is the role model, friend, manager, educator and innovator of the club.
7. To ensure all health and safety measures of the players are met.
8. To ensure that all players carry and behave in a professional conduct.
Article XV: General Meetings
There shall be three classes of meetings- Annual General Meeting, ordinary general meetings and Special General Meeting.
The Annual General Meetings
a) It will be held in December. Notice in writing of such AGM, accompanied by the annual statement of account and the agenda for the meeting shall be sent to all members not less than 2weeks before the date of the meeting and, where practicable, by posters not less than THREE days before the date of the meeting.
b) The agenda for the meeting shall consist of the following;
1. Confirmation of the minutes of the previous AGM.
2. Consideration of the accounts.
3. Election of the office bearers and the committee members
4. Such other matters as the committee may decide or as to which notice shall have been given meeting.
5. Any other business with the approval of the Chairman.
6. in writing by the member or members to the secretary at least for 10 days before the date of the Ordinary General Meetings
· Shall be called by the chairperson after consultations with the other officials.
Special General Meeting
· It may be called by the committee for any specific purpose. Notice in writing of such meeting shall be sent to all members not less than 4 weeks before the date of such meeting.
· A special general meeting may also be requisition for a specific purpose by order in writing to the secretary of not less than 2 months days by members and such meetings shall be held within 14 days of requisition.
· Quorum for the General Meetings shall be not less than half of the registered members of the WAKULIMA FC.
Article XVI: Procedure at Meeting
· At all meetings of the WAKULIMA FC the Chairperson, or in his absences, the Vice Chairperson, or in the absence of both these officials, a member selected by the meeting shall take the chair.
· The Chairperson may at his discretion limit the number of the persons permitted to speak in favor of and against the motion.
· Resolutions shall be decided by simple voting by show of hands. In the case of equality of votes, the Chairperson shall have a second or casting vote.
· Minutes of the meeting shall be recorded and kept in safe custody by the secretary general.
Article XVII: Elections
· The election shall be by secret ballot for all the posts
· The winner shall be determined by a simple majority
· In case of a tie, there shall be a re-run on the same day between the two top candidates and a simple majority shall determine the winner.
a) There shall be two classes of election general elections and by-election.
b) The general elections shall take place once a year during the annual general meeting and the electoral committee shall preside over the electoral process.
c) There shall be an electoral committee consisting of the three members selected from the registered members who do not meet minimum qualifications to be elected as WAKULIMA FC officials.
d) The members of the electoral committee shall be voted in an ordinary meeting held at least two weeks before the AGM by a proclamation of the majority ascertained by the chair.
e) The electoral committee shall receive applications from the interested candidates for various posts at least one week before the AGM.
f) The chair of the electoral committee shall announce the results.
g) A by-election shall take place in case of resignation of an official or any disqualification of an official.
Article XVIII: Term of Office
· The official term of office of the executive will be of two years.
· After every two years a general election will be held.
· Any member can vie for any post in the executive post.
· After the lapse of two years any member from executive office can vie again in any post he/she fits in.
Article XIX: Vacancy of office
· Where a seat falls vacant by reasons of resignation, death, mental or physical incapacitation, or dismissal; a by-election shall be held in the next meeting after the vacancy falling.
Article XX: Finance
· The financial year of the WAKULIMA FC shall correspond to the annual general meeting.
· All funds shall be received by and paid to the treasurer, and shall be deposited by him or her in the name of the WAKULIMA FC, in any bank or banks approved by the committee.
· The WAKULIMA FC may obtain funds from;
1. Membership registration and Subscription fees
2. Friends and well-wishers of the WAKULIMA FC.
3. Any other as may be deemed fit.
· The funds of the WAKULIMA FC may be used for;
1. Organizing activities;
2. Financing club publications;
3. Financing charitable works;
4. Financing stationery and miscellaneous expenses that are reasonably concurrent to the running of the WAKULIMA FC.
· No withdrawal shall be made out of the bank account without resolution, approval and authorization of the committee,
1. Such accounts shall be open for inspection
2. The committee shall have power to suspend any financial dealing or office bearer who it has reasonable cause to believe is NOT properly accounting for any of the funds or property of the WAKULIMA FC.
Article XXI: Bank Account
· The WAKULIMA FC shall operate a bank account as approved by the executive committee for the convenience, accountability, transparency, and profitability of the financial resource of the WAKULIMA FC.
· The signatories to the account shall change after every general election or by-election.
· The signatories shall be:
1. The Chairperson
2. The Treasurer
3. The Secretary general
Any account transactions are subject to the approval of the signatories where any three can transact on behalf of the WAKULIMA FC.
Article XXII: Amendments
· The amendment of this constitution may be proposed by a popular initiative signed by not less than two-thirds of the registered members of the WAKULIMA FC.
· The popular initiative may arise in form of a general suggestion by any registered member of the WAKULIMA FC.
· A two-thirds majority present and voting in a meeting shall approve proposed amendments to this constitution. Amendment shall take effect after the amendments have been approved by the executive.
· An amendment to the constitution shall be made with the consent of the founding committee.
Article XXIII: Projects
· There shall be a select committee formed to work on an upcoming project within 21 days. The chairperson/deputy chairperson and the coordinator of the group shall be part of the committee. The select committee shall give a final report to the executive committee after implementation of the project. The executive committee shall then scrutinize the document and upon approval circulate it to the entire group.
Article XXIV: Dissolution
· The organization shall stand dissolved if such decision is taken by not less than two-thirds of registered members of the WAKULIMA FC provided that upon such dissolution the properties vested in the WAKULIMA FC will be appropriated by the Trustees to the WAKULIMA FC. The quorum for the meeting shall be the quorum of general meeting. If no quorum is obtained, the proposal to dissolve the WAKULIMA FC shall be submitted to a further general meeting, which shall be held one month later. Notice of this meeting shall be given to all members at least 14 days before the date of the meeting. The quorum for this meeting shall be the number of the members present.
· Provided, however, that no dissolution shall be affected without prior permission in writing of the patron, obtained upon application to him made in writing and signed by three of the office bearers.
· When the dissolution of the WAKULIMA FC has been approved by the patron, no further actions shall be taken by the committee or any office bearer of the WAKULIMA FC in connection with the aims of the WAKULIMA FC other than to dissolve it

The select committee shall give a final report to the executive committee after implementation of the project. The executive committee shall then scrutinize the document and upon approval circulate it to the entire group.
Article XXIV: Dissolution
· The organization shall stand dissolved if such decision is taken by not less than two-thirds of registered members of the WAKULIMA FC provided that upon such dissolution the properties vested in the WAKULIMA FC will be appropriated by the Trustees to the WAKULIMA FC. The quorum for the meeting shall be the quorum of general meeting. If no quorum is obtained, the proposal to dissolve the WAKULIMA FC shall be submitted to a further general meeting, which shall be held one month later. Notice of this meeting shall be given to all members at least 14 days before the date of the meeting. The quorum for this meeting shall be the number of the members present.
· Provided, however, that no dissolution shall be affected without prior permission in writing of the patron, obtained upon application to him made in writing and signed by three of the office bearers.
· When the dissolution of the WAKULIMA FC has been approved by the patron, no further actions shall be taken by the committee or any office bearer of the WAKULIMA FC in connection with the aims of the WAKULIMA FC other than to dissolve it
