(USWA)

 

CONSTITUTION

 

1.      Title

The Constitution will be cited as UTUGI STAFF WELFARE ASSOCIATION (USWA) Constitution.

2.      Name

The name of the association shall be UTUGI STAFF WELFARE ASSOCIATION (USWA). WELFARE: refers to care, help and support.

3.      Office

The office of the Association shall be UTUGI WHOLESALERS, P.O BOX 20154 - 00100, NAIROBI.

4.      Objectives

The objectives for which the Association is established are:

ü  To bring staff together to think and work as members of one family.

ü  Assist on an immediate basis in emergency matters.

ü  To promote co-existence of members.

ü  To provide financial or material and moral assistance to a paid-up member or to his/her immediate family in case of death. These shall include: self/husband/wife, children, father/mother, (nuclear family)

ü  To provide financial assistance to a paid-up member who suffers major catastrophe or pressing financial need where the Committee is convinced that it is genuine for assistance.

ü  The association shall be free to accept gifts and donations from well-wishers for the advancement of its objectives.

5.      Membership  

ü  Membership is open to all staff of UTUGI WHOLESALERS who are on permanent payroll, one-year contract or more and casuals above 6 months’ engagement period. 

ü  Every applicant for membership shall complete a “Registration Form”. Accompanying such a form shall be a registration fee determined by USWA Management Committee and ratified in an AGM. 

ü  Every registered member shall be required to pay a monthly contribution of Ksh400.00 (Four hundred shillings only) deducted directly from one’s salary through the check off system (subject to approval by the management of UTUGI WHOLESALERS) or any other mode.

ü  In case of contribution arrears, a penalty of 10% shall accrue.

ü  Membership to the Association shall cease with effect from a date of a member;

·         Dying or, 

·         Being expelled from membership or,

·         Exiting UTUGI WHOLESALERS or,

·         Becoming certifiably insane 

ü  In case of a member exiting from UTUGI WHOLESALERS, the member shall be required to notify the welfare of such cessation through a written notice to the Chairperson. If a member ceases being a member before six (6) months of his/her registration, he or she gets no benefit if any. 

ü  A member can only benefit from the Association after having contributed for at least three months. 

ü  The Management Committee shall have powers to suspend a member from his/ her membership on the recommendation of the disciplinary committee. This shall be communicated to members in the subsequent AGM. 

ü  A suspended member may appeal to the Management Committee for review of his/her case. The Management Committee shall upon reception of the lodged appeal, constitute a three-bench appeals committee from the Management Committee. The appeals outcome shall be communicated to the Management Committee and a decision communicated to the aggrieved member within two weeks by the Management Committee.

ü  Expulsion of a member shall follow the procedure for suspension of a member. In addition, the final decision to expel a member shall be ratified by at least simple majority of subsequent AGM. The Management Committee shall communicate the expulsion to the aggrieved member. 

6.      Funds

The Association shall raise funds from the following sources;

ü  Members’ monthly contributions.

ü  Registration fee

ü  Association shall explore avenues to generate funds either to be paid to members as dividends or ploughed back to the Association in the form of investments.

ü  Interests charged on “I owe you” (IOU) extended to members by the association.

·         The Association shall extend IOU’s to members to a period determined by the Management Committee 

·         The Management Committee shall determine the interest chargeable on the IOU 

·         The Management Committee shall determine the type and number of such IOU’s.

7.      Receipting for Money 

ü  An official receipt issued by the treasurer or an appointee of the Management Committee must evidence any money paid. 

ü  Money spent on behalf of Association must be evidenced by receipt, or other means ratified by the Management Committee, to facilitate an audit trail.

8.      Office Bearers

The Welfare shall have 7 elected officials comprising of: 

ü  Chairman 

ü  Vice Chairman 

ü  Secretary

ü  Assistant Secretary

ü  Treasurer 

ü  Two ordinary Committee Members
